These Terms of Service govern access to and use of Vspindle (the Agent Intelligence Platform operated by Vspindle). By creating an account, clicking accept, or using the service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.
If you do not agree, do not use the service. These Terms are a product draft for the live product and should be reviewed by qualified counsel before relying on them in a commercial contract.
Vspindle is an agent intelligence and control plane. It helps organizations connect evidence sources, evaluate and simulate agents, assess risk and readiness, estimate value, and record human decisions.
Vspindle interprets and recommends. It does not replace your duty to approve production changes, comply with law, or supervise the agents you operate. An LLM explanation never overrides a critical risk or readiness gate in the product, and it never constitutes legal, financial, or compliance advice.
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account.
Workspaces are isolated by organization. Roles and permissions come from organization membership in Vspindle, not from optional onboarding answers stored as user preferences.
You retain rights in data you submit, including agent specifications, runbooks, telemetry you ingest, and business records you connect. You grant Vspindle a limited license to process that data solely to provide, secure, and improve the service for your organization.
Business SaaS connectors default to read-only. You must only connect systems you are authorized to access. Do not upload secrets into knowledge files. Provider credentials are stored server-side and must not be pasted into browser-visible fields except through the product's intended connection flows.
You may not misuse the service, attempt to access another tenant's data, bypass authorization or readiness gates, probe other customers' agents, submit unlawful content, or use the platform to build a competing intelligence layer by scraping proprietary methods.
You remain responsible for the agents you govern: their prompts, tools, executions, and downstream actions.
Evaluations, simulations, risk notes, ROI estimates, and recommendations may be generated or assisted by models. Outputs can be incomplete or wrong. Treat them as decision support. Distinguish observed, simulated, estimated, and customer-provided inputs when you act on a result.
Paid plans are described on the pricing page and in your billing account. Fees are charged by the payment processor configured for your workspace. The service is provided as available; we may change features with notice where material.
Each party will protect the other's confidential information with reasonable care. Vspindle applies tenant isolation and least-privilege access in product design. You must also apply least privilege to the credentials you supply.
The service is provided “as is” to the extent permitted by law. Vspindle is not liable for decisions you make from recommendations, for third-party provider outages, or for indirect or consequential damages. Nothing in these Terms limits liability that cannot be limited under applicable law.
You may stop using the service at any time. We may suspend or terminate access for material breach, unpaid fees, or risk to other tenants. Upon termination, we will delete or return customer data according to the Privacy Policy and any surviving legal obligation.
We may update these Terms. The current version is 2026-09-07. Continued use after the effective date of a posted update constitutes acceptance of the revised Terms where permitted by law. Material changes that require a new acceptance will be presented in the product.
